Thank you for choosing Vanilla as your long distance carrier. Please read the terms and conditions of service carefully. This governs the relationship between you and Vanilla. This document explains the agreement between us.
These Term and Conditions of Service, together with the current rates and restrictions, constitute your agreement with Vanilla for the services that you use and purchase from Vanilla Inc. rates are incorporated into this agreement by reference and are part of this agreement
BY ENROLLING IN, USE OF OR PAYMENT FOR THE SERVICES CONSTITUTES YOU AGREE TO THE RATE, CHARGES, AND TERMS AND CONDITIONS OF THIS AGREEMENT. IF THIS AGREEMENT IS NOT ACCEPTABLE TO YOU, DO NOT USE THE SERVICES AND CALL VANILLA CUSTOMER SERVICE TO CANCEL. CUSTOMER SERVICE CAN BE REACHED AT 1-866-367-5637.
This Agreement applies to interstate, intrastate and international long distance calls. Additionally, State regulations and requirements, including tariffs filed with the State Public Service Commissions, will continue to apply to your intrastate telecommunications services if they are required.
Vanilla charges flat rates all the time. There is no variation in call rates based on time of day or day of week. You agree to pay for Services at the current Rates and subject to any restrictions applicable to as determined in this agreement. In addition to the Rates for using the Services, taxes and surcharges may also apply to your Services.
Charges will not be levied for Directory Assistance on an individual who suffers from a physical or visual disability that precludes the use of a telephone directory.
There shall be no charge for incomplete calls. No charge will be levied for unanswered calls. Customers will receive credit for calls placed to a wrong number if the customer notifies Vanilla of the error.
Vanilla may offer new services from time to time on a trial basis. Such trials are limited to a maximum of six months at which time the trial offering must be either withdrawn or made available on permanent basis.
Vanilla may offer existing services on a promotional basis that provides special rates, terms, or conditions of service. Promotional offerings are limited to a maximum of six months at which time the promotional offering must be either withdrawn or made available on a permanent basis.
Vanilla reserves the right to change its Rate Schedule or Terms and Conditions at any time. All changes to existing service and offerings will be posted to our web site at www.vanillalink.com/terms_conditions.html of service. All changes will be posted at least 15 days before they will become effective. We may also contact you by email or U.S. mail to inform you of changes. You may obtain a copy of rates, term and conditions by calling customer care at 1-866-367-5637, email your request to customercare@vanillalink.com, and by visiting or writing our office to Vanilla Inc., 8260 Greensboro Drive, McLean VA 22102.
YOUR CONTINUED USE OF THE SERVICES CONSTITUTES YOUR AGREEMENT TO VANILLA'S RATES, TERMS AND CONDITIONS.
PROVISION OF SERVICE
Service shall not be used for any purpose in violation of law or for any use as to which the customer has not obtained all required governmental approvals, authorizations, licenses, consents, and permits. Vanilla shall refuse to furnish service to an customer or shall disconnect the service without notice of a customer when an order shall be issued, signed by a judge finding that probable cause exists to believe that the use made or to be made of the service is prohibited by law.
Service shall not be used in any manner that interferes with other persons in the use of their service, prevents other persons from using their service, or otherwise impairs the quality of service to other customers. Vanilla may require a customer to immediately shut down its transmission of signals if said transmission is causing interference to others or impairing the service of others.
Service shall not be used for the purpose of solicitation by recorded messages when such solicitation occurs as a result of un-requested or unsolicited calls initiated by the solicitor by means of automatic dialing devices. Such devices, with storage capability of numbers to be called or a random or sequential number generator that produces numbers to be called and having the capability, working alone or in conjunction with other equipment, of disseminating a prerecorded message to the number called and which are calling party or called party controlled, are expressly prohibited.
Requirements for Obtaining Service
Before you receive Services, Vanilla may require you to: signor electronically submit a document authorizing changes in your existing long distance services known as a Letter of Authorization (LOA) and verify that you are authorized to order Service. Some states require a Third Party Verification (TPV). The TPV is required to protect you from unauthorized changes to your long distance carrier. The TPV helps ensure the Òanti-slammingÓ policies of those states by recording/verifying your authorizations to switch long distance carriers.
Order Acceptance
Vanilla may accept or reject your order for Services in its sole discretion. Vanilla will activate the Services as soon as practical after receiving your order, usually 2-20 days unless Vanilla tells you otherwise.
Minimum agreement period
Except as otherwise provided, the minimum contract period is one month for all services furnished. However, if a new residential or single line business customer notifies Vanilla within twenty days after receipt of the first bill that certain services or equipment are not desired, Vanilla will delete such services or equipment from the customerÕs account without a record keeping or service ordering charge. The customer nonetheless shall be responsible for all monthly usage and installation charges incurred for the use of such service.
The customer shall be responsible for:
á The customer is responsible for payment of all charges for service furnished to the customer. Charges based on actual usage during a month will be billed monthly in the month following the month in which the service was used.
á Complying with all laws and regulations regarding the use of the service.
With respect to any service provided by the Vanilla, the customer shall indemnify, defend and hold harmless Vanilla from all claims, actions, damages, liabilities, costs and expenses for:
á Any loss, destruction or damage to property of the Vanilla or any third party, or injury to persons, including, but not limited to, employees or invitees of either the Vanilla or the customer, to the extent caused by or resulting from the negligent or intentional act or omission of the customer, its employees, agents, representatives or invitees; or
á Any claim, loss, damage, expense or liability for infringement of any copyright, patent, trade secret, or any proprietary infringement of any copyright, patent, trade secret, or any proprietary or intellectual property right of any third party, arising from any act or omission by the customer.
The charge for a returned check is $25.
Customers may notify the carrier of billing or other disputes either orally or in writing. There is no time limit for submitting disputes.

Credit for failure of service will be allowed only when failure is caused by or occurs in equipment owned, provided, or billed for, by the Vanilla. Vanilla agrees to abide by the regulations associated with interruptions in service.
LIMITATIONS ON LIABILITY
Nothing in this agreement shall be construed to limit the VanillaÕs liability in cases of gross negligence or willful misconduct.
In view of the fact that the customer has exclusive control over the use of service furnished by the Vanilla, and because certain errors incident to the services and to the use of such facilities of the Vanilla are unavoidable, services are furnished by Vanilla subject to the terms, conditions and limitations herein specified:
VANILLA IS NOT LIABLE FOR ANY FAILURE OF PERFORMANCE DUE TO CAUSES BEYOND ITS CONTROL, INCLUDING, BUT NOT LIMITED TO, ACTS OF GOD, FIRES, METEOROLOGICAL PHENOMENA, FLOODS OR OTHER CATASTROPHES; NATIONAL EMERGENCIES, INSURRECTIONS, RIOTS OR WARS, STRIKES, LOCKOUTS, WORK STOPPAGES, OR OTHER LABOR DIFFICULTIES, ACTS OF THIRD PARTIES, INCLUDING BUT NOT LIMITED TO LOCAL OR FOREIGN TELEPHONE COMPANIES; AND ANY LAW, ORDER, REGULATION OR OTHER ACTION OF ANY GOVERNMENTAL ENTITY.
Exclusions
Vanilla is not liable for claims or damages from: your fault, negligence or failure to perform your responsibilities; third party claims against you that arise out of your use of the Services; claims for third party acts or omissions; your acts or omissions; claims due to fraudulent or unauthorized use of the Services provided to you, or unauthorized use of your telephone facilities to place calls with Vanilla; or a problem with the interconnection of services with the services or equipment of some other party.
Foreign Carrier Acts or Omissions
When other U.S. or foreign carriers and Foreign Telecommunications Administrations use facilities to establish connections to points not reached by Vanilla, Vanilla is not liable for acts or omissions of other carriers or Foreign Telecommunications Administrations.
International calls are priced on the basis of the country and city codes dialed by you. When the facilities of other U.S. or foreign carriers are used in establishing connections to points not reached by Vanilla, Vanilla is not liable for refunds or damages if those calls do not terminate in the country, city, or area codes normally associated with the called number.
Claims of Misuse of Service
Vanilla shall be indemnified and saved harmless by the customer against claims for libel, slander, fraudulent or misleading advertisements or infringement of copyright arising directly or indirectly from material transmitted over its facilities or the use thereof; against claims for infringement of patents arising from combining or using apparatus and systems of the customer with facilities of the Vanilla; and against all other claims arising out of any act or omission of the customer in connection with the services and facilities provided by Vanilla.
Vanilla does not require indemnification from the customer where the action for which it is seeking indemnification is based on a claim of negligence by the Vanilla.
YOUR LIABILITY
You will indemnify, defend and hold Vanilla harmless from all claims and demands by third parties for loss or damages arising out of the use of Services by you, including but not limited to: claims of libel, slander, or the infringement of copyright; claims for the unauthorized use of any trademark, trade name, or service mark arising from the material transmitted over the Services; claims of infringement of patents arising from, combining with, or using in connection with, the Services, any apparatus and or systems furnished by you; and all other claims arising out of any act or omission of you in connection with the Services.
VANILLA MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED EITHER IN FACT OR BY OPERATON OF LAW, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE, EXCEPT THOSE EXPRESSLY SET FORTH HEREIN. NO WARRANTY STATES THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR- FREE.
Some or all of the following charges may apply to you. The charges described in this Section are in addition to all other Rates.
All federal, state and local taxes and fees shall be listed as separate line items on the customerÕs bill.
If a municipality, other political subdivision or local agency of government, or the Commission imposes and collects from Vanilla a gross receipts tax, occupation tax, license tax, permit fee, franchise fee, or regulatory fee, such taxes and fees shall, as allowed by law, be billed pro rata to the customer receiving service from Vanilla within the territorial limits of such municipality, other political subdivision or local agency of government.
Service shall not be subject to taxes for a given taxing jurisdiction if the customer provides Vanilla with written verification, acceptable to Vanilla and to the relevant taxing jurisdiction, that the customer has been granted a tax exemption.
Regulatory Program
You must pay additional charges that Vanilla may impose to recover amounts required by regulatory or other governmental authorities to collect on behalf of or pay to others in support of statutory or regulatory programs. These obligations include but may not be limited to the following: state specific universal service funds, lifeline charges, mandated user fees, telecom/ telecommunications and deaf relay charges, and other federal and state miscellaneous charges assessed against telecommunications services
Carrier Universal Service Charge(CUSC)
Vanilla will assess a Carrier Universal Service Charge(" CUSC") of 9.6% on all billed Interstate, Intrastate and International charges each month.
Foreign Carrier Restrictions
Foreign carriers or regulatory agencies may impose, upon the portion of the end-to-end international service or facilities they provide, certain limitations or restrictions that may limit your ability to use the Vanilla Services. You must conform to any limitations or restrictions imposed by the foreign carriers or agencies.
Payment Terms
á You agree to pay for Services at the Rates according to the terms of this Agreement.
á You must fully pay monthly invoice in U. S. currency within 30 days of the invoice date.
á If you fail to pay all undisputed charges for Services within 30 days of the invoice date, Vanilla will charge you interest on those charges equal to the lesser of 1 ½% per month. The interest will be applied to the entire unpaid balance, including taxes. If the Local Telephone Company bills you for Vanilla charges on VanillaÕs behalf, you are subject to the Local Telephone CompanyÕs payment policies, including any late payment charges that it may impose.
Unauthorized Charges
You are responsible to pay all charges for Services provided under this Agreement, including, but not limited to, unauthorized charges incurred on calls placed from your premises or phone card issued to you.
Refunds
If you believe that you have overpaid, you must submit a claim to Vanilla within 60 days after the claimed overpayment, along with evidence supporting the claim. In calculating any refund, Vanilla will adjust usage discounts based on total usage after all credits or adjustments have been applied. If a billing error results in an over billing or overcharge, Vanilla may refund the amount over billed or overcharged by issuing a credit to your account.
YOUR RESPONSIBILITIES
You must:
á Ensure compliance with this Agreement by anyone who you authorize to use the Services.
á Notify Vanilla of any interruption of Service, after ensuring that the interruption is not the result of anything that you have done or caused by your equipment.
Use of Services:
You may cancel Service at any time. To cancel Service, you should notify your Local Exchange Carrier that you wish to change your long distance service to another carrier, in which case Vanilla will cancel your Service and close your account when it receives the order from the Local Exchange Carrier.
Vanilla may discontinue your Service immediately upon written notice and without liability to you for any of the following reasons:
á Your failure to pay a disputed charge within.
á Vanilla is prohibited from furnishing Service by order of a court or other government authority having jurisdiction.
á You use the Services in a manner that violates any law or regulation; or you place harassing phone calls to anyone, including calls in which you use abusive language.
á Vanilla may immediately and without notice block access to particular phone numbers where Vanilla is experiencing significant amounts of fraud, or usage of Services exceeds limited parameters
Vanilla may discontinue service without notice for any of the following reasons:
Vanilla may deny service for any of the following reasons provided if it has notified the customer of its intent, in writing, to deny service and has allowed the customer a reasonable time of not less than 10 days in which to remove the cause for denial:
Non-compliance with Regulations; For violation of or non-compliance with regulations, or for violation of or non-compliance with the VanillaÕs tariffs.
Failure on Contractual Obligations; For failure of the customer to fulfill his contractual obligations for service or facilities subject to regulation.
Non-payment of Bill
For non-payment of a bill for service, provided that the Vanilla has made a reasonable attempt to effect collection and has given the customer written notice of its intent to deny service if settlement of his account is not made and provided the customer has at least 5 days, excluding Sundays and holidays in which to make settlement before his service is denied.
In cases of bankruptcy, receivership, abandonment of service, or abnormal toll usage not covered adequately by a security deposit, less than 5 days notice may be given if necessary to protect VanillaÕs revenues.
Except in cases where a prior promise to pay has not been kept or bankruptcy, receivership, abandoned service, or abnormal toll usage is involved, Vanilla may not deny service on the day preceding any day on which it is not prepared to accept payment of the amount due and to reconnect service.
Failure to Comply with Service Conditions; For failure of the customer to furnish the service equipment, permits, certificates, or rights-of-way, specified by Vanilla as a condition to obtaining service, or if the equipment or permissions are withdrawn or terminated.
Failure to Comply with Municipal Ordinances; For failure to comply with municipal ordinances or other laws pertaining to telephone service.
The following may not constitute cause for refusal of service to a present or prospective customer:
á Failure of a prior customer to pay for service at the premises to be serviced.
á Failure to pay the bill of another customer as guarantor of that bill.
This applies to any dispute between you and Vanilla arising out of or relating to this Agreement, including any dispute you may have regarding the Services, charges for Services, advertising, or any other dispute that either you or Vanilla has that is related to this Agreement, even if the dispute arises after your Service has terminated. All disputes must be resolved as described in this Section. YOU AGREE THAT ANY DISPUTE WILL NOT BE RESOLVED BY A JUDGE OR JURY IN COURT (EXCEPT FOR SMALL CLAIMS COURT, IF APPLICABLE).
If you have a dispute with Vanilla, you must first call VanillaÕs Customer Service department at the number listed on your invoice or write to Vanilla Inc., 8260 Greeensboro Drive, Suite 110, McLean, VA 22102, to attempt to resolve your dispute. You must describe your dispute and provide Vanilla with any supporting documentation. Likewise, if Vanilla has a dispute with you it will notify you by letter sent to your billing address and attempt to resolve it before pursuing arbitration.
If either party is unable to resolve its dispute within 60 days of notifying the other party of the dispute, either party has the right to take the dispute to small claims court if it qualifies under the rules of the court. Alternatively, either party may request arbitration as described below.
MANDATORY ARBITRATION OF DISPUTES; ANY CLAIM, CONTROVERSY OR DISPUTE OF ANY KIND BETWEEN YOU AND VANILLA AND/ OR ANY OF ITS EMPLOYEES, AGENTS, AFFILIATES OR OTHER REPRESENTATIVES, WHETHER SOUNDING IN CONTRACT, STATUTE, OR TORT, INCLUDING FRAUD, MISREPRESENTATION, FRAUDULENT INDUCEMENT, OR ANY OTHER LEGAL OR EQUITABLE THEORY AND REGARDLESS OF THE DATE OF ACCRUAL OF SUCH CLAIM, CONTROVERSY OR DISPUTE WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION. THE FEDERAL ARBITRATION ACT, NOT STATE LAW, GOVERNS THE QUESTION OF WHETHER A CLAIM IS SUBJECT TO ARBITRATION.
A single arbitrator engaged in the practice of law will conduct the arbitration. Any required hearing fees and costs will be paid by the parties as required by the applicable rules or as required by applicable law, but the arbitrator will have the power to apportion such costs as the arbitrator deems appropriate.
The arbitrator's decision and award will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court with jurisdiction.
If any party files a judicial or administrative action asserting a claim that is subject to arbitration and another party successfully stays such action or compels arbitration, the party filing that action must pay the other party's costs and expenses incurred in seeking such stay or compelling arbitration, including attorneyÕs fees.
In addition to the procedures described in this Section for resolving a dispute, you may also have the right to file a complaint with an appropriate federal or state regulatory agency.
If any portion of this Dispute Resolution Section is determined to be invalid or unenforceable, the remainder of the Section remains in full force and effect.
Information Obtained Online
VanillaÕs privacy policy governing information about you that Vanilla obtains over the Internet is at www.vanillalink.com/privacy
Personal Privacy
Vanilla provides Services to you. We must collect information about the quantity, technical configuration, type, destination, amount of services you use, and other personal information found on your bill. Under federal law, you have a right, and Vanilla has a duty, to protect the confidentiality of your Information. In order to serve you in the most effective and efficient manner, Vanilla may use or share your personal information only with vendors, which are part of the Vanilla organization, for purposes of determining billing and customer services. We will not use or sell your personal information to offer you products and services that are unrelated to the Vanilla Services. Rest assured that we never provide your personal information to companies outside the Vanilla organization unless you authorize us in writing to do so.
No Waiver of Rights
If either party fails to enforce any right or remedy under this Agreement, that does not waive the right or remedy for any other breach or failure.
Governing Law
Federal law and the laws of the State of Virginia govern this Agreement and all claims relating to the relationship between the parties. If any provision is held to be illegal, or unenforceable, this AgreementÕs unaffected provisions will remain in effect.
Assignment
You may not assign this Agreement. Vanilla may assign this Agreement.
Notices
Any notices that Vanilla must give you under this Agreement will be made in at least one of the following ways: postcard or letter mailed to the most recent address on your account, bill message, bill insert, e- mail to an address provided by you, recorded announcement, posting on the Vanilla web site, call to your billed telephone number and speaking to you or leaving a message, or newspaper ad.
Vanilla Trademark
You may not use the Vanilla name or logo in any promotional materials, web site pages, or similar media without VanillaÕs prior written approval.
These Terms and Conditions and
applicable Rate Schedules, as may be modified by Vanilla from time to time,
constitute the entire agreement between you and Vanilla. No prior agreements,
understanding, statements, proposals or representation, either oral or written,
apply. No written or oral statement, advertisement or service description not
expressly contained in this Agreement can be used to alter or supplement its
terms. You may not rely on any representations or statements not contained in
this Agreement. If you find any inconsistency between your bill and the rates,
terms and conditions on the web site, quoted by customer service or contained
in any material you receive from Vanilla, please contact Customer Service.
